Wholesale Terms & Conditions

These Wholesale Terms supplement our standard Terms of Service for buyers purchasing on a wholesale, business-to-business basis from PRIME PACK INDUSTRIES LLC.

1. Wholesale Eligibility

To purchase at wholesale pricing, buyer must be a bona fide business operating in a related industry (pizzeria, ghost kitchen, restaurant, catering, food manufacturer, retail, distributor, etc.) with a valid business registration and, where applicable, a state resale certificate.

2. Minimum Order Quantities (MOQs)

MOQs apply per SKU as listed on each product page. Multi-SKU orders may be combined to meet aggregate MOQ requirements at our discretion. Below-MOQ orders may be accommodated as test/sample runs at premium pricing.

3. Net 30 Payment Terms

Net 30 payment terms are available to qualified customers after 3 successful prepaid orders and satisfactory credit references. Application process takes 5-7 business days. Defaulted accounts may be subject to:

Interest at 1.5%/month on unpaid balances
Collection costs and reasonable attorney fees
Reversion to prepaid terms on all future orders
Report to credit bureaus

4. Resale Certificate & Sales Tax

Wholesale buyers reselling our products must provide a valid state resale certificate to qualify for tax-exempt purchases. Without a current resale certificate on file, applicable Pennsylvania sales tax will be collected. Buyers are solely responsible for collecting and remitting applicable sales tax on resale transactions in their jurisdictions.

5. Pricing & Volume Discounts

Pricing tiers are based on per-SKU annual volume commitments. Larger commitments unlock more favorable per-unit rates. Volume rebates are computed quarterly and applied as account credits or check refunds at year-end.

6. Custom Print Setup & Tooling

Custom-print orders require artwork submission and proof approval. One-time setup/plate fees may apply for flexo printing. Tooling and plates remain Prime Pack property; no royalty or reuse fees on subsequent reorders within 24 months.

7. Confidentiality of Artwork

Prime Pack treats buyer-submitted artwork as confidential. We do not share, sell, or use buyer artwork for any purpose other than fulfilling the buyer's orders. Production samples may be retained for quality control purposes for up to 24 months.

8. Force Majeure & Supply Chain

Lead times are good-faith estimates. Prime Pack is not liable for delays caused by raw material shortages, freight carrier disruptions, port congestion, government action, weather events, or other causes beyond our reasonable control. We will provide timely notice and revised delivery estimates when such events arise.
