These Terms of Service ("Terms") govern your access to and use of the website operated by PRIME PACK INDUSTRIES LLC ("Company," "we," "us," "our") located at pizzaboxwholesale.com (the "Site") and the purchase of corrugated pizza packaging products (the "Products"). By accessing the Site or placing an order, you agree to be bound by these Terms.

2. Acceptance of Terms

By placing an order through this Site, you confirm that (a) you are at least 18 years of age and authorized to enter into this agreement, (b) the information you provide is accurate and complete, and (c) you accept these Terms in full.

3. Order Acceptance & Pricing

  • All orders are subject to acceptance by Prime Pack. We may decline or cancel any order at our discretion.
  • Prices displayed on this Site are quoted in US Dollars (USD) unless otherwise noted and are subject to change without notice.
  • Products are sold on a wholesale basis. Minimum Order Quantities (MOQs) apply per SKU as listed on each product page.
  • Custom-print orders require a signed proof and may include non-refundable plate/setup fees.

4. Payment Terms

  • First-time customers: 50% deposit on Purchase Order (PO), 50% balance due upon shipment.
  • Established accounts: Net 30 terms may be extended after 3 successful orders, subject to credit approval.
  • Accepted payment methods: bank wire transfer (ACH), business check, and major credit cards. Credit card surcharges may apply for orders exceeding $10,000.
  • Past-due balances accrue interest at 1.5% per month or the maximum permitted by Pennsylvania law, whichever is lower.

5. Shipping & Delivery

Products ship via LTL freight or full truckload from our Allentown, Pennsylvania warehouse to destinations within the contiguous 48 United States. Estimated lead times: 2-3 weeks for plain kraft orders; 4-6 weeks for custom-printed first orders. See our Shipping Policy for details.

6. Title & Risk of Loss

Title and risk of loss pass to the buyer upon delivery to the freight carrier (FOB Origin, Allentown PA). Buyer is responsible for filing freight claims for damaged shipments.

7. Returns & Refunds

Custom-printed orders are non-returnable. Plain kraft orders may be returned within 14 days of delivery if unopened and in original packaging, subject to a 20% restocking fee plus return freight. See our Refund Policy for details.

8. Intellectual Property

  • All Site content (text, graphics, logos, images, layouts) is the property of Prime Pack Industries LLC or its licensors and is protected by US copyright and trademark law.
  • Buyer represents that artwork submitted for custom printing does not infringe any third-party rights and grants Prime Pack a non-exclusive license to use such artwork solely to fulfill the order.
  • Buyer agrees to indemnify Prime Pack against any infringement claims arising from buyer-submitted artwork.

9. Limitation of Liability

To the maximum extent permitted by law, Prime Pack's total liability arising from or related to the products or this agreement shall not exceed the amount paid by buyer for the specific order giving rise to the claim. Prime Pack disclaims all liability for indirect, consequential, incidental, or punitive damages, including lost profits or business interruption.

10. Disclaimer of Warranties

PRODUCTS ARE PROVIDED "AS IS." PRIME PACK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT THE LIMITED WARRANTY EXPRESSLY STATED HEREIN. Products are warranted to conform to manufacturer specifications at the time of shipment.

11. Force Majeure

Prime Pack is not liable for delays or failures caused by acts of God, government action, war, civil unrest, labor disputes, transportation failures, supplier defaults, pandemics, or other events beyond our reasonable control.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms or the products shall be resolved exclusively in the state or federal courts located in Lehigh County, Pennsylvania, and the parties consent to personal jurisdiction in those courts.

13. Modifications

We reserve the right to modify these Terms at any time. Changes are effective upon posting. Continued use of the Site or placement of new orders constitutes acceptance of the modified Terms.

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
